Important Notesโ€‹

Unconditional Waivers:

  • Effective IMMEDIATELY upon signing โ€” even if payment bounces
  • Use only when payment has been received AND cleared your bank account
  • Riskier for contractors/suppliers than conditional waivers
  • This template uses the California statutory form per Civil Code ยง8134

An unconditional waiver is enforceable against you even if the check bounces or payment is reversed. Only sign after funds have cleared. If pressured to sign before payment clears, use a conditional waiver instead.

California Requirements:

  • California requires use of statutory waiver forms (Civil Code ยงยง8132-8138)
  • Non-statutory forms may be void and unenforceable under Civil Code ยง8120
  • No notarization required in California
  • Unconditional waivers exist for both progress payments (ยง8134) and final payments (ยง8138)

Best Practicesโ€‹

  1. Sign ONLY after payment has cleared your bank account
  2. Verify the cleared amount matches the waiver amount
  3. Never sign unconditional under pressure before funds clear
  4. Get unconditional waivers from your subs for the same period
  5. Keep copies in your project files
  6. Track all waivers issued in a log
  7. For progress payments, prefer conditional waivers whenever possible
